Podcode - Terms of Service
Last updated: August 21, 2026
These Terms of Service ("Terms") are a binding agreement between you ("you," "your," or "User") and Elledyne Labs, Inc., a Delaware corporation ("Elledyne Labs," "we," "us," or "our"). Elledyne Labs owns and operates Podcode. These Terms govern your access to and use of the Podcode desktop application, websites, APIs, and related services (collectively, the "Service").
By creating an account, downloading, installing, or using the Service, you agree to these Terms and to our [Privacy Policy](/privacy). If you do not agree, do not use the Service.
1. Eligibility and Acceptance
You must be at least 18 years old and able to form a binding contract to use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and "you" refers to both you and that organization.
You accept these Terms when you check the box indicating acceptance, or when you access or use the Service, whichever happens first.
2. The Service
Podcode is a developer tool that orchestrates AI coding "agents." The Service lets you connect your own third-party model and compute providers (such as Anthropic, OpenAI, Google, GitHub Copilot, RunPod, Vast, Ollama, and other OpenAI-compatible endpoints) and direct agents to read, write, modify, and execute code and commands within directories you choose on systems you control.
Podcode is an orchestrator, not a model or compute provider. Except where expressly stated, the Service does not itself provide AI model inference or GPU compute. You bring your own provider accounts and keys.
3. Beta / Evaluation Software
The Service is provided on an early-access, evolving basis. It may contain bugs, may change or be discontinued at any time, may produce incorrect results, and may experience downtime or data loss. You should not rely on the Service for any use where failure could cause harm, loss, or significant cost, and you are responsible for maintaining backups and version control of any code or data the Service can access.
4. Accounts and Security
To use certain features you must create an account. Account registration and authentication are handled through Google Firebase Authentication, including the option to sign in with Google. You agree to provide accurate information, to keep it current, and to keep your credentials confidential. You are responsible for all activity under your account. Notify us promptly at service@podcode.io of any unauthorized use.
5. Plans, Fees, and Billing
The Service is currently free, and we do not currently collect payments. If we introduce paid plans, they will be billed through our payment processor, Stripe, under the prices and billing cycle shown at checkout, and the following will apply unless stated otherwise: fees are charged in advance, are non-refundable except as required by law, and recurring plans renew automatically until cancelled. We may change prices on prospective notice. You are responsible for all applicable taxes. "Seat"-based plans, if offered, are billed per the definition shown at the time of purchase. If you are a consumer in the EU or UK, you may have a statutory right to withdraw from a purchase within 14 days where that right applies and you have not waived it by requesting that the Service begin immediately.
6. Acceptable Use
You agree not to, and not to permit anyone to:
- use the Service in violation of any law, regulation, or third party's rights;
- use the Service to develop, deploy, or operate anything unlawful, harmful, or that infringes intellectual property or privacy;
- circumvent usage limits, security, or access controls, or probe or disrupt the Service;
- reverse engineer the Service except to the extent that restriction is prohibited by applicable law;
- resell, sublicense, or provide the Service to third parties except as expressly permitted; or
- violate the terms, policies, or acceptable-use rules of any third-party provider you connect to the Service.
7. AI Agents and Autonomous Actions
You understand and accept how the Service works. When you direct an agent, it can take actions on your systems and accounts, including reading, creating, modifying, deleting, and executing files, code, and commands, and making network and API calls to providers you have connected.
- You are solely responsible for reviewing, approving, and supervising agent actions and their results, including any code the agent writes, changes, or removes, and any commands it runs.
- Agent output may be incorrect, insecure, non-functional, or unsuitable for your purpose. You are responsible for testing and validating all output before relying on it.
- Any approval, plan-confirmation, "human-in-the-loop," spend-cap, budget, or other safety feature is provided to assist you and operates on a best-effort basis without guarantee. It may fail, and it does not transfer responsibility for agent actions to Elledyne Labs. The Service does not provide any guaranteed or "hard" spending limit.
- We strongly recommend operating the Service only on code under version control, with backups, and with appropriate scoping of file-system and account access.
8. Third-Party Providers and Costs
The Service connects to third-party model and compute providers using credentials and accounts that you supply and control.
- Your use of any third-party provider is governed by your agreement with that provider. Elledyne Labs is not a party to it and is not responsible for those providers' acts, omissions, availability, pricing, or terms.
- You are solely responsible for all charges, fees, usage, and costs incurred on your connected provider accounts, including charges resulting from agent activity, retries, loops, long-running sessions, or high-volume usage, and including charges that exceed any cap, budget, or guardrail the Service attempts to enforce. Caps and budgets are best-effort and may fail; they are not a guarantee.
- You are responsible for securing, rotating, and revoking your own provider credentials.
9. Your Content and Your Code
As between you and Elledyne Labs, you retain all rights to your code, files, prompts, data, and other materials you use with or that the Service can access ("Your Content"). Elledyne Labs claims no ownership of Your Content or of output generated by your connected models.
You grant Elledyne Labs a limited, non-exclusive license to access and process Your Content only as necessary to operate and provide the Service to you. Where the Service transmits Your Content (such as code or prompts) for inference, it is transmitted from your device to the third-party provider you have selected and directed. Podcode's servers do not receive or store your file contents or prompts, and Elledyne Labs does not use Your Content to train any model. Your provider API keys are stored locally on your device and are not transmitted to or stored by Podcode's servers.
You represent that you have the rights necessary to use Your Content with the Service and that doing so does not violate any law or third-party right.
10. Podcode Intellectual Property
The Service, including its software, design, trademarks, and documentation (excluding Your Content and third-party materials), is owned by Elledyne Labs or its licensors and is protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service in accordance with these Terms. We reserve all rights not expressly granted. You may submit feedback, and you grant us a perpetual, royalty-free license to use it without obligation to you.
11. Privacy
Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELLEDYNE LABS DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE OR ANY AGENT OUTPUT WILL BE ACCURATE, SECURE, RELIABLE, UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
(a) ELLEDYNE LABS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.
(b) WITHOUT LIMITING SECTION 8, ELLEDYNE LABS WILL NOT BE LIABLE FOR ANY CHARGES, FEES, OR COSTS INCURRED ON YOUR THIRD-PARTY PROVIDER ACCOUNTS, OR FOR ANY LOSS, CORRUPTION, OR DELETION OF CODE OR DATA, RESULTING FROM USE OF THE SERVICE OR FROM AGENT ACTIONS.
(c) ELLEDYNE LABS' TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (i) THE TOTAL FEES YOU PAID ELLEDYNE LABS IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (ii) ONE HUNDRED U.S. DOLLARS (US $100).
(d) NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR (i) GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR FRAUD; (ii) DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE; OR (iii) ANY OTHER LIABILITY THAT MAY NOT LAWFULLY BE LIMITED. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
14. Indemnification
You will defend, indemnify, and hold harmless Elledyne Labs and its officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Your Content; (b) your violation of these Terms or any law; (c) your violation of any third-party right or any third-party provider's terms; or (d) any charges incurred on your connected accounts. This Section does not apply to the extent a claim arises from Elledyne Labs' own gross negligence or willful misconduct.
15. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access at any time, with or without notice, including for violation of these Terms or to comply with law. Upon termination, your license to use the Service ends. Sections that by their nature should survive - including Sections 8 through 14, 17, and 19 through 23 - will survive. Data handling on termination is described in the Privacy Policy.
16. Changes to These Terms
We may modify these Terms. If we make material changes, we will provide reasonable notice (for example, by posting the updated Terms with a new "Last updated" date or by email). Your continued use after changes take effect constitutes acceptance. If you do not agree, stop using the Service.
17. Force Majeure
Neither party is liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, natural disaster, war, terrorism, civil unrest, labor disputes, governmental action, and internet, network, or utility failures. This expressly includes the failure, outage, suspension, rate-limiting, pricing change, or discontinuation of any third-party model or compute provider or other third-party infrastructure on which the Service depends.
18. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules.
Informal resolution. Before bringing any claim, you agree to contact us at service@podcode.io and attempt in good faith to resolve the dispute for at least 30 days.
Venue and jury waiver. Any dispute will be brought exclusively in the state or federal courts located in Delaware, and each party consents to personal jurisdiction there. TO THE EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL.
Nothing in this Section limits any non-waivable statutory rights, including those of California residents (for example, under the CCPA/CPRA).
19. Copyright / DMCA
If you believe content accessible through the Service infringes your copyright, send a notice containing the elements required by 17 U.S.C. § 512(c)(3) to service@podcode.io. We may remove allegedly infringing material and terminate repeat infringers in appropriate circumstances. (We have not registered a designated agent with the U.S. Copyright Office; we will do so if and when the Service hosts user content for which safe-harbor protection is needed.)
20. U.S. Government End Users
The Service is "Commercial Computer Software" and "Commercial Computer Software Documentation" as those terms are used in FAR 12.212 and DFARS 227.7202. If you are a U.S. Government end user, you acquire the Service with only those rights granted to all other users under these Terms, consistent with FAR 12.211–12.212 and DFARS 227.7202-1 through 227.7202-4.
21. Export, Sanctions
You represent that you are not located in, and will not use the Service in, any country or by any party subject to applicable U.S. embargoes or sanctions, and that you will comply with all applicable export-control and sanctions laws.
22. Notices
We may give you notice by email to your account address, by posting within the Service, or by posting an updated document with a new "Last updated" date. You must send legal notices to Elledyne Labs at service@podcode.io. Notice is effective upon delivery (or, for email, when sent, absent a bounce).
23. Miscellaneous
These Terms, together with the Privacy Policy and any plan-specific terms, are the entire agreement between you and Elledyne Labs regarding the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. There are no third-party beneficiaries.
